These Terms and Conditions ("Terms") govern your access to and use of PapayaClaw (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Accounts
You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account. You must be at least 16 years old and have the legal capacity to enter a contract. One account per person or legal entity unless we approve otherwise.
2. The Service
PapayaClaw lets you deploy and manage AI agent instances powered by OpenClaw. We may evolve, add, or remove features at any time. We do not guarantee uninterrupted availability; the Service is provided on a best-effort basis with commercially reasonable uptime targets.
3. Subscriptions and billing
Paid plans are billed in advance on a recurring basis (monthly or annual) via our payment provider. Fees are non-refundable except as required by law or explicitly stated. You can cancel at any time; cancellation takes effect at the end of the current billing period. We may change pricing with at least 30 days' notice before renewal.
4. Acceptable use
You agree not to: (a) use the Service to violate laws or third-party rights; (b) deploy agents that generate illegal, harmful, defamatory, or infringing content; (c) send spam, malware, or perform network abuse; (d) attempt to reverse engineer, bypass rate limits, or probe the Service for vulnerabilities without authorization; (e) resell the Service without a written agreement. Violations may result in suspension or termination.
5. Your content
You retain ownership of prompts, configurations, and data you submit ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely to operate the Service. You are responsible for ensuring you have the rights to use Your Content.
6. Intellectual property
The Service, including its software, branding, and documentation, is owned by PapayaClaw and its licensors. Except for the limited rights expressly granted to you in these Terms, no rights are transferred.
7. Third-party services
The Service integrates with third-party providers (e.g., AI model providers, payment processors). Their terms apply to your use of their offerings. We are not responsible for the acts or omissions of third-party providers.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI outputs may be inaccurate, biased, or unsuitable for your use case; you are responsible for reviewing outputs before relying on them.
9. Limitation of liability
To the maximum extent permitted by law, PapayaClaw's aggregate liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100. We are not liable for indirect, incidental, consequential, or punitive damages.
10. Termination
You may terminate your account at any time. We may suspend or terminate your access immediately if you breach these Terms or if required for legal or security reasons. Upon termination, your right to use the Service ceases; provisions that by their nature should survive (e.g., IP, liability, disputes) will survive.
11. Governing law and disputes
These Terms are governed by the laws of the jurisdiction where PapayaClaw is established, excluding conflict-of-law rules. Disputes shall be resolved in the competent courts of that jurisdiction, unless a mandatory consumer protection law grants you the right to a different forum.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
